Ownership of work product created during projects will be defined in individual project agreements or statements of work. Generally, upon full payment, clients receive ownership or licensing rights to custom designs created specifically for their projects, subject to the terms of the project agreement.
By submitting content to our Services (project specifications, feedback, etc.), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of providing our Services to you.
Pricing for our Services will be provided in project quotes, proposals, or statements of work. All prices are in U.S. Dollars unless otherwise specified.
Payment terms will be specified in individual project agreements. Generally, we require a deposit before commencing work, with the balance due upon completion or according to milestone payments. Invoices are typically due within 30 days of issuance unless otherwise agreed.
Late payments may incur interest charges at the rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.
Refund policies will be outlined in individual project agreements. Deposits are generally non-refundable once work has commenced. Refunds for completed work are evaluated on a case-by-case basis.
We strive to provide high-quality services and will make reasonable efforts to meet project specifications and deadlines. However, we do not guarantee that our Services will meet all your requirements or be error-free, uninterrupted, or timely.

Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of our business relationship. This includes technical data, business plans, customer information, and project specifications.
For projects involving sensitive information, we may require execution of a separate Non-Disclosure Agreement (NDA) before commencing work.
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.
You may terminate your account at any time by contacting us. Termination does not relieve you of obligations for any fees incurred prior to termination.
Upon termination, your right to use our Services will immediately cease. Provisions that by their nature should survive termination (including intellectual property, indemnification, limitation of liability) shall survive.
In the event of any dispute, claim, or controversy, you agree to first contact us to seek informal resolution before pursuing formal legal action.
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in Connecticut, and you irrevocably submit to the jurisdiction of such courts.
Our Services and any technical data or software provided may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR).
You agree not to export, re-export, or transfer any technical data, software, or products received from us in violation of applicable export control laws. You represent that you are not located in, under the control of, or a national or resident of any restricted country.
Clients are responsible for obtaining any necessary export licenses or approvals for their projects.
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
Your continued use of our Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of our Services.
These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and Embedded System Design LLC.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
